Power Rangers Officially Owned By Hasbro

And not just Hasbro, but the entire slate of Saban Brands entertainment properties. Hasbro broke the news early this morning:

This means not only does Hasbro own the Power Rangers master toy license (bought in a $22.25 million deal announced early this year), but they now own the whole Power Rangers IP. This includes the entire back log of seasons from the first Saban Brands Era, through Disney, to the Neo-Saban Era.

Through this deal, they also now own Saban’s properties; My Pet Monster, Popples, Julius Jr., Luna Petunia, Treehouse Detectives and more. When it was first announced that Hasbro acquired Power Rangers master toy license, fans were quick to notice they also had the opportunity to buy Power Rangers all together form Saban Brands – but did not know when and if this would actually come to fruition.

Hasbro’s chairman and CEO, Brian Goldner (note – he’s an old friend of Haim Saban) had this to say about hte purchase:

Fans should note that “Haim Saban will continue in a consulting role to futher guide” Hasbro’s development with the Power Rangers property. Hasbro will start creating toys for the next upcoming Power Rangers season, Power Rangers Beast Morphers – starting in April of 2019.

Until those toys are released it’s speculative to know how much Hasbro will be closely watching the development of this upcoming season – if at all. Maybe Beast Morphers be looked at as a transitioning season where Hasbro representatives will be around to see just how exactly Power Rangers is created. Either way, Haim Saban is looking forward to working with Hasbro to ensure that Power Rangers will be a continued success.

Emphasis on the years. Recently, news broke that Nickelodeon is keeping Power Rangers on it’s network through 2021. Many wonder if this means that Power Rangers Beast Morphers will continue with the two season theme, or will be one theme for one season, leaving the path open for Hasbro to follow the same path. And, how will Hasbro handle a 30-year anniversary with Power Rangers fresh under it’s belt. Many believe this is also their ticket to getting a sequel to the 2017 Lionsgate Power Rangers movie.

Created by Haim Saban and launched in 1993, Mighty Morphin Power Rangers quickly became a pop culture phenomenon. Today, Power Rangers is one of the longest running kids’ live-action series in television history with nearly 900 episodes produced to date. The TV series, currently in its 25th season with Power Rangers Super Ninja Steel, and feature films, including 2017’s movie with Lionsgate, follows the adventures of a group of ordinary teens who morph into superheroes and save the world from evil. Saban’s Power Rangers currently airs in 150 markets around the world and is translated into numerous languages.

The first set of products from Hasbro will be available in spring 2019.

Transaction Details
Hasbro has previously paid Saban Brands$22.25 million pursuant to the Power Rangers master toy license agreement, announced by the parties in February of 2018, that was scheduled to begin in 2019. Those amounts are being credited against the purchase price. Under the terms of the purchase agreement, Hasbro will pay an additional $229.75 million in cash and will issue $270 million worth of Hasbro common stock for the Power Rangers brand and several other entertainment brands. The agreement includes all related intellectual property, category rights and content libraries owned by Saban Properties and its affiliates. The transaction is subject to a number of customary closing conditions, including obtaining required regulatory approvals, and is expected to close during the second quarter of 2018.

The transaction, including intangible amortization expense, is not expected to have a material impact on Hasbro’s 2018 results of operations.
